Nikon Coolpix Pride and Joy Baby Photo Contest (the "Contest") begins at 12:01 AM Eastern Time ("ET") on October 13, 2003. All entries must be received no later than 11:59 PM ET on December 15, 2003.

Eligibility: The Contest is open to legal U.S. residents who are newborns to 24 months old (except residents of CT, CO, VT, MD and Puerto Rico) at time of entry. Employees, officers, directors and members of Wilhelmina Inc., Wilhelmina Kids & Creative Management LLC ("Wilhelmina Kids"), Nikon Inc. ("Nikon"), Parenting Magazine, a division of the Parenting Group, Inc., (collectively, the "Sponsors"), their respective parents, divisions, affiliates, advertising and promotional agencies, subsidiaries and agents, including immediate families and household members of each are not eligible. Entrants who have performed services for other agencies are still eligible to enter, however, entrants who are under contract with a modeling agency are not eligible to enter. Entrants who have earned more than $5,000 in modeling fees in any one year are ineligible for this Contest. Entrants represented by Wilhelmina Kids are ineligible. Void in CT, CO, VT, MD, Puerto Rico and where prohibited by law. All applicable U.S. federal, state, and local laws and regulations apply.

To Enter: To enter, you must complete an Official Entry Form (legibly print or type), available online at prideandjoybaby.com or by attending open call events at call events at select locations, and submit along with a current photo (as specified below) and $4.95 nonrefundable processing fee payable in U.S. funds only. If $4.95 nonrefundable processing fee is via check/money order, make payable to: Pride and Joy Photo Contest. If payment is via Visa, MasterCard, or American Express, complete appropriate section on entry form. All entry forms must include a signature of a parent/legal guardian. Online entries must be completed and submitted by a parent or legal guardian. With each entry (mail, online, in person), submit one color or B&W photo depicting entrant's appearance, personality, photogenic quality and vitality. Photos may be any snapshot, no smaller than 3" x 4" and no larger than 8" x 10". No slides, transparencies or photocopies are permitted. Legibly print entrant's name on back of photo. For online entries, photograph must be entrant's original, untouched digital photo and photograph must be submitted in a JPEG (.jpg) or PNG file format and cannot exceed 1.7 MB in file size. Entry materials consist of completed entry form, photograph and fee. You can submit entry materials in one of 3 ways: 1) By mail: Send your entry materials to: Pride and Joy Baby Contest, PO Box 9221, Central Islip, NY 11722. 2) Online: Submit your entry material at prideandjoybaby.com. 3) In person: attend an open call event and submit your entry materials at: Wilhelmina New York office: 300 Park Avenue South, NY, NY; check prideandjoybaby.com for Los Angeles and Miami locations). Date of such events will be announced and publicized.

Entrants may enter only one time per family, regardless of method of entry. Incomplete, inaccurate, damaged, illegible and/or postage-due entries will be disqualified. Entry forms only may be photocopied. An Official Entry Certificate will be mailed within 3-4 weeks after original entry is received and qualified.

Sponsors shall have the right to disqualify any entries that they deem to be obscene or otherwise not in good taste, as determined by Sponsors in their sole discretion. Entries must be in keeping with Sponsors' images and may not defame or invade the publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party's personal, intellectual property or other proprietary rights. Entries and photos become property of Sponsors, can be used by Sponsors for any lawful purpose, and will not be returned. By entering, parent or legal guardian of entrant agree to be bound by the terms of these official rules and the decisions of the Sponsors and judges which are final and binding on all matters relating to this Contest.

Baby Finalists: Three Baby Finalists and three Alternate Baby Finalists will be selected on or about January 9, 2004 by qualified judges (agents of Sponsors) based equally on appearance, photogenic quality, and vitality, as determined from entrant's submitted photo entry. In the event of a tie, an additional, qualified, "tie-breaking" judge shall determine the three Baby Finalists from such tied entries using the criteria herein. Baby Finalists will be notified by mail and telephone. Only Finalists will be notified. The parent or legal guardian of each Baby Finalist must execute and return an Affidavit of Eligibility/Liability and Publicity Release (unless prohibited) and model release within 7 days of issuance of such documents. Failure to properly and/or timely execute and return such forms and/or failure to comply with any portion of these Official Rules will result in disqualification, his/her place as a finalist will be forfeited and, at Sponsors' sole discretion, awarded to the next Alternate Baby Finalist. The return of such documents within the allotted time shall be the sole responsibility of each respective parent or legal guardian.

Baby Finalist Prizes: Each Baby Finalist will receive a Wilhelmina Kids Package which includes: a three (3) year contract with Wilhelmina Kids for exclusive representation in the field of modeling; 100 Wilhelmina Kids Photo Composite Cards; inclusion in special client mailing promoting the Finalists; Wilhelmina Kids Portfolio Book; inclusion in Wilhelmina Kids Annual Promotional Book; a Wilhelmina Date book; a Wilhelmina Kids management company tour and meeting with managers; posting on Wilhelmina Kids website for a period of time determined in Wilhelmina Kids sole discretion; Nikon Coolpix 2100 Digital Camera; 1-year subscription to Parenting Magazine; attendance at awards dinner; a 3-day/2-night trip to New York City for Baby Finalist and two (2) parents or legal guardians (who must be at least 18 years of age) to participate in a photo shoot with Nikon in January 2004 (specific dates to be determined by Sponsors at time of notification). Baby Finalists may be featured and parent or legal guardian of Baby Finalist must agree to him/her being featured in a Nikon advertisement as well as on national television (for no additional compensation). Parent or legal guardian of each Baby Finalist must agree to the standard terms and conditions of model contracts, including Wilhelmina Kids' standard commission on gross income and entitlement to a customer-service charge, and may be required to travel, which travel expenses may not be reimbursed. Failure to attend and/or travel on the specified dates, to agree to sign the model contract or to agree to the Nikon advertisement as well as national television coverage may result in disqualification. His/her place as a finalist may be forfeited, and at Sponsors' sole discretion, awarded to the next Alternate Baby Finalist. Wilhelmina Kids does not guarantee that it will obtain any modeling or other work for the Baby Finalists or the Grand Prize Winner.

Trip includes ground transportation to New York City or round-trip coach airfare from the major U.S. gateway airport nearest Finalist's home, ground transportation to/from airport in New York, standard hotel, double occupancy for 3 days/ 2 nights, and a stipend of $200/ day for food. Actual value may vary based on Baby Finalist's point of departure and dates of travel. Certain travel restrictions and blackout dates may apply. Method of transportation to be determined based on finalists' proximity to New York City. Total estimated value of all prizes excluding contracts is $10,000 for each Finalist plus an additional $400.00 for the Grand Prize Winner. Total ARV of all prizes awarded: $30,400.00. All details not specified herein are at Sponsors' sole discretion. Parents or legal guardians of Baby Finalists are solely responsible for all trip expenses not specified herein as being awarded, including but not limited to all taxes, gratuities and meals and/or beverages in excess to the $200 per day specified above. Travel must be made through Sponsors' agent, on a carrier of Sponsors' choice. Parents or legal guardians of any Baby Finalist must travel together on the same itinerary. Parents or legal guardians of Baby Finalists are responsible for obtaining travel documents. Parents or legal guardians of Baby Finalists must sign, notarize and return a publicity release (unless prohibited) and an affidavit of liability release prior to issuance of travel documents. Prizes will be awarded "as is" with no warranty or guarantee, either expressed or implied. No transfer, cash equivalent or substitution of prize is permitted, except by Sponsors who reserve the right, at their sole discretion, to substitute any prize (or portion thereof) for one of comparable or greater value if prize (or portion thereof) cannot be awarded as advertised.

Grand Prize Winner: After meeting and evaluating all three Baby Finalists while in New York, the judges will select one Grand Prize Winner based equally on Finalists' appearance, photogenic quality, and vitality. Grand Prize Winner may be featured in an additional commercial announcement to be run during the third hour of the Today Show programming. In addition, Grand prize Winner will receive a Coolpix 3100 digital Camera and Nikon School voucher in the amount of $100 for a school in Winner's area.

Miscellaneous: The parent or legal guardian of each entrant (including the Baby Finalists and Grand Prize Winner) grants Sponsors and their designees the right to use the entrant's name, hometown, voice, photograph (including any photograph submitted with entry) and likeness without additional compensation in advertising and promoting future Model Search contests conducted by Sponsors, and also in promoting and advertising Nikon and/or its products, except where prohibited. By entering this Contest and/or accepting any prize in connection herewith, entrant's parent or legal guardian releases and agrees to indemnify and hold harmless Sponsors, their respective parents, subsidiaries, affiliates, divisions, retailers, advertising and promotional agencies, and the directors, officers, members, agents, successors assignees, licensees, shareholders and employees of all of the foregoing (collectively, "Releasees") from and against any and all claims, actions, and liability for any injury, losses, liabilities, damages, costs and expenses (including without limitation, reasonable attorneys' fees), disputes, and/or disability resulting from participation in this Contest and/or acceptance of any prize (including, without limitation, any travel related thereto). Releasees are not responsible for lost, late, incomplete, stolen, misdirected, or illegible, entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network; or the incorrect or inaccurate capture of entry or other information or the failure to capture any such information. Releasees are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Releasees are not responsible for injury or damage to entrants' or to any other person's computer related to or resulting from participating in this Contest or downloading materials from or use of the web site. Persons who tamper with or abuse any aspect of the Contest or website, as solely determined by Sponsors, will be disqualified. Should any portion of the Contest be, in Sponsors' sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsors, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsors reserve the right at their sole discretion to suspend, modify or terminate the Contest and select Finalists and one Grand Prize Winner from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsors. By entering contest, entrants' parents or legal guardians agree to receive promotional mailings from Sponsors. Prizes will be awarded based on full compliance with these official rules.
